Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Yeti Brands, LLC, doing business as RepDesk ("RepDesk," "we," "us," or "our"), governing your access to and use of the RepDesk cloud-based customer relationship management platform, including the website at repdesk.io, all related APIs, integrations, and documentation (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree, you may not access or use the Service.

1. Definitions

  • "Customer" means the entity or individual that subscribes to the Service and establishes an Organization.
  • "Organization" means the Customer's tenant account within RepDesk, which provides a logically isolated environment for the Customer's data, users, and configuration. Each Organization is identified by a unique company identifier.
  • "Authorized User" means any individual granted access to the Service by the Customer's administrator under the Customer's subscription.
  • "Administrator" means an Authorized User with elevated privileges to configure Organization settings, manage users, enable integrations, and control data access within the Service.
  • "Customer Data" means all data, content, and information submitted, uploaded, or generated by a Customer or its Authorized Users through the Service, including but not limited to contacts, accounts, deals, sales orders, leads, tasks, calendar events, communication records, documents, and commission data.
  • "Third-Party Integration" means a connection between the Service and an external product or service, such as Google Workspace, JustCall, ShipStation, Fishbowl ERP, or QuickBooks Online.

2. Account Registration & Organization Administration

To access the Service, you must register for an account by providing accurate and complete information. The individual who creates an Organization becomes its initial Administrator.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must immediately notify RepDesk of any unauthorized use of your account.
  • Administrators control user provisioning, role assignments, integration settings, and Organization-wide configurations. Administrators are responsible for ensuring their Authorized Users comply with these Terms.
  • Each Authorized User seat consumes one license under the Customer's subscription plan. Adding users beyond the included seats will incur additional per-user fees.

3. Subscription, Fees & Payment

RepDesk offers subscription plans as described on the Pricing page. All fees are quoted in United States dollars.

  • Free Trial. New Customers may receive a free trial period (currently 14 days). During the trial, you may use the full Service without charge. At the end of the trial, your access will convert to a paid subscription or be suspended unless you cancel.
  • Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. Payment is due on the billing date and will be charged to the payment method on file.
  • Seat-Based Pricing. Plans include a base number of user seats. Additional seats are billed at the per-user rate displayed at the time of purchase.
  • Price Changes. We may adjust pricing with at least thirty (30) days' written notice before the change takes effect on your next billing cycle.
  • Taxes. All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your subscription except for taxes on RepDesk's income.
  • Refunds. Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

4. Acceptable Use

You agree to use the Service solely for lawful business purposes and in compliance with all applicable laws. You shall not:

  • Use the Service to store, transmit, or distribute malware, viruses, or any harmful code.
  • Attempt to gain unauthorized access to any other Customer's Organization, data, or accounts, or to any systems or networks connected to the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission.
  • Interfere with or disrupt the integrity, performance, or security of the Service, including by circumventing multi-tenant isolation or row-level security controls.
  • Use the Service to send unsolicited bulk communications (spam) or violate anti-spam laws (CAN-SPAM, GDPR, etc.).
  • Impersonate another person, entity, or Organization within the Service.
  • Share or distribute account credentials, or allow more individuals to access the Service than permitted by your subscription plan.
  • Use the Service in any manner that could damage, disable, overburden, or impair it.

RepDesk reserves the right to suspend or terminate access to any account found in violation of this Acceptable Use policy, with or without prior notice.

5. Customer Data & Multi-Tenant Isolation

Ownership. You retain all rights, title, and interest in your Customer Data. RepDesk does not claim ownership of Customer Data. By using the Service, you grant RepDesk a limited license to host, store, process, and display your Customer Data solely to provide and improve the Service.

Tenant Isolation. RepDesk operates a multi-tenant architecture. Each Organization's data is logically isolated using company-scoped access controls and database-level row-level security policies. Your Customer Data is never accessible to other Organizations. Administrators control which Authorized Users within their Organization may access specific data and features.

Data Portability. You may export your Customer Data at any time through the Service's export features. Upon termination of your subscription, RepDesk will make your data available for export for a period of thirty (30) days, after which we may delete it.

Data Security. RepDesk implements commercially reasonable technical and organizational measures to protect Customer Data, including encryption in transit (TLS), encryption at rest, access logging, and role-based access controls. We conduct periodic security reviews of our platform.

6. Third-Party Integrations

The Service supports integration with third-party products and services. These integrations are enabled at the Organization level by an Administrator and, where applicable, configured at the individual user level.

  • Authorization. When you or your Administrator enables a Third-Party Integration (such as Google Workspace, JustCall, ShipStation, Fishbowl ERP, or QuickBooks Online), you authorize RepDesk to exchange data with that third-party service as necessary to deliver the requested functionality.
  • Third-Party Terms. Your use of any Third-Party Integration is also subject to the third party's own terms of service and privacy policy. RepDesk is not responsible for the availability, accuracy, security, or practices of any third-party service.
  • OAuth & API Keys. Where integrations use OAuth 2.0 or API key authentication, RepDesk stores credentials securely using encryption. Tokens are scoped to the minimum permissions required and may be revoked by the user or Administrator at any time.
  • Webhooks. Certain integrations receive data via webhooks (e.g., shipping updates, email notifications). RepDesk validates inbound webhook signatures where supported by the third-party provider to prevent unauthorized data injection.

7. Intellectual Property

The Service — including its software, user interface, design, documentation, APIs, and all related intellectual property — is and remains the exclusive property of Yeti Brands, LLC and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

"RepDesk" and associated logos, names, and marks are trademarks of Yeti Brands, LLC. You may not use these marks without prior written consent.

Feedback. If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant RepDesk a worldwide, royalty-free, irrevocable, perpetual license to use and incorporate that Feedback into the Service without restriction or obligation to you.

8. Confidentiality

Each party agrees to treat the other party's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. "Confidential Information" includes non-public technical, business, or financial information disclosed by either party in connection with these Terms.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives reasonable notice to the disclosing party where legally permitted.

9. Data Processing & Privacy

RepDesk processes Customer Data as a data processor on behalf of the Customer (data controller). Our collection, use, and handling of personal data are described in our Privacy Policy, which is incorporated into these Terms by reference.

RepDesk will not sell, share, or use Customer Data for advertising or any purpose unrelated to providing and improving the Service. We will not use Customer Data to train machine learning or artificial intelligence models without the Customer's explicit opt-in consent.

Where the Customer is subject to data protection regulations (including GDPR, CCPA, or similar laws), RepDesk will cooperate with reasonable requests related to data subject rights, data processing impact assessments, and international data transfers.

10. Service Availability & Support

RepDesk strives to maintain high availability of the Service. However, the Service may be temporarily unavailable due to scheduled maintenance, updates, or events beyond our reasonable control.

We will provide reasonable notice of planned maintenance windows when possible. Emergency maintenance to address security vulnerabilities or critical issues may be performed without advance notice.

Support is available via the channels described on our website. Response times and support scope depend on your subscription plan.

11. Commission & Financial Data

The Service includes tools for calculating sales commissions, tracking revenue, and generating financial reports. While RepDesk strives for accuracy, the Customer acknowledges that:

  • Commission calculations are based on the rules, rates, and data configured by the Customer's Administrator. RepDesk is not responsible for errors resulting from incorrect configuration.
  • The Service is not a substitute for professional accounting or financial advice. Customers should verify financial data and commission calculations independently before making payment decisions.
  • Revenue figures, sales analytics, and performance metrics displayed in the Service are derived from Customer Data and third-party integrations, and are provided for informational purposes.

12. Term & Termination

These Terms take effect when you first access or use the Service and continue until terminated.

  • Termination by Customer. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No partial-period refunds will be issued.
  • Termination by RepDesk. We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or engage in activity that threatens the security or integrity of the Service or other Customers.
  • Effect of Termination. Upon termination: (a) your right to access the Service ceases immediately; (b) we will make your Customer Data available for export for thirty (30) days; (c) after the export period, we may permanently delete your Customer Data; (d) any outstanding fees become immediately due and payable.
  • Survival. Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law survive termination.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPDESK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REPDESK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPDESK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF REPDESK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

REPDESK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO REPDESK DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless RepDesk and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) Customer Data that you submit to the Service.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days of written notice, either party may pursue binding arbitration administered under the rules of the American Arbitration Association, with the arbitration taking place in Ada County, Idaho.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.

17. Changes to These Terms

RepDesk reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, for substantive changes, by sending a notice to the email address associated with your account at least fifteen (15) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

18. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any order forms or subscription agreements, constitute the entire agreement between you and RepDesk regarding the Service and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. No failure or delay by RepDesk in exercising any right under these Terms shall operate as a waiver of that right.
  • Assignment. You may not assign or transfer these Terms or your rights hereunder without RepDesk's prior written consent. RepDesk may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
  • Force Majeure. RepDesk shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, internet service disruptions, or infrastructure failures.
  • Notices. Notices to RepDesk shall be sent to the contact information below. Notices to you will be sent to the email address associated with your account.
