End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Yeti Brands, LLC, doing business as RepDesk ("RepDesk," "we," or "us") governing your use of the RepDesk software application, platform, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Service.

1. Grant of License

Subject to the terms of this Agreement and payment of all applicable fees, RepDesk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

2. Account Registration

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Restrictions

You agree not to:

• Copy, modify, or distribute the Service or any portion thereof;
• Reverse engineer, decompile, or disassemble the Service;
• Rent, lease, sublicense, or transfer your rights under this Agreement;
• Use the Service for any unlawful purpose or in violation of any applicable laws;
• Interfere with or disrupt the integrity or performance of the Service;
• Attempt to gain unauthorized access to the Service or its related systems.

4. Third-Party Integrations

The Service may integrate with third-party services, including but not limited to QuickBooks Online (Intuit Inc.), ShipStation, JustCall, and Google services. Your use of such third-party services is governed by their respective terms of service and privacy policies. RepDesk is not responsible for the availability, accuracy, or reliability of any third-party services.

When you connect a third-party service to RepDesk (such as QuickBooks Online), you authorize RepDesk to access and use the data provided by that service solely to deliver the functionality you have requested, in accordance with our Privacy Policy.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

6. Intellectual Property

The Service and all content, features, and functionality thereof — including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof — are owned by RepDesk, its licensors, or other providers of such material and are protected by applicable intellectual property laws.

7. Subscription and Payment

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly provided in this Agreement or required by applicable law. RepDesk reserves the right to change subscription fees upon reasonable notice.

8. Termination

This Agreement is effective until terminated. RepDesk may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach any provision of this Agreement. Upon termination, your right to use the Service will immediately cease.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. REPDESK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPDESK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF REPDESK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. REPDESK'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO REPDESK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ada County, Idaho.

12. Changes to This Agreement

RepDesk reserves the right to modify this Agreement at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification. Your continued use of the Service after any changes constitutes your acceptance of the revised Agreement.
